These Terms of Service (“Terms”) govern your use of services provided by Scale Now Design Ltd (“Scale Now Design”, “we”, “us”, or “our”). By engaging our services, you agree to these Terms.
If you do not agree, please do not use our services.
1. About Scale Now Design
Scale Now Design Ltd is a UK-registered company providing digital product design, UX/UI design, branding, website design, and related consultancy services.
2. Scope of Services
The scope of work will be defined and agreed in writing before any work begins. This may include, but is not limited to:
Product design (UX/UI)
Website design and build
Brand identity and visual design
Design audits and strategy
Ongoing design support or project-based work
Any work outside the agreed scope may require a revised agreement or additional fees.
3. Engagement & Communication
Work typically begins once payment (or the first payment) has been received.
Communication is primarily async (e.g. email, project tools), unless otherwise agreed.
Response times may vary depending on workload and time zones.
4. Fees & Payment
Fees are agreed in advance and outlined in writing.
Invoices are payable within the timeframe stated (typically 7 or 14 days).
Late payments may result in paused work until payment is received.
All prices are exclusive of VAT unless stated otherwise.
We reserve the right to charge reasonable expenses where agreed in advance.
5. Refunds & Cancellations
Payments are non-refundable once work has commenced.
If a project is cancelled by the client after work has begun, any completed or in-progress work will be chargeable.
If Scale Now Design cannot complete the work for any reason, you will only be charged for work completed up to that point.
6. Client Responsibilities
You agree to:
Provide timely feedback, content, and approvals
Ensure you have the rights to any materials you supply
Review work promptly to avoid delays
Delays caused by missing information or feedback may affect timelines.
7. Intellectual Property
7.1 Ownership
Upon full payment, you will own the final, approved deliverables.
Working files, concepts, and unused drafts remain the property of Scale Now Design unless agreed otherwise.
7.2 Licence Before Payment
Until full payment is received, all work remains the intellectual property of Scale Now Design and may not be used.
7.3 Portfolio Use
Scale Now Design reserves the right to showcase completed work in portfolios, case studies, and marketing unless otherwise agreed in writing.
8. Third-Party Services
We may recommend or use third-party tools or platforms (e.g. hosting, CMSs, analytics tools). We are not responsible for outages, changes, or issues caused by third parties.
9. Confidentiality
Both parties agree to keep confidential information private unless disclosure is required by law or agreed in writing.
10. Liability
We will provide services with reasonable skill and care.
We are not liable for indirect, incidental, or consequential losses.
Our total liability is limited to the fees paid for the services in question.
Nothing in these Terms limits liability where it would be unlawful to do so.
11. No Guarantees
While we aim to deliver high-quality, effective work, we do not guarantee specific commercial, financial, or performance outcomes.
12. Termination
Either party may terminate an engagement with written notice. Any work completed up to the termination date remains payable.
13. Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including illness, natural disasters, or technical failures.
14. Governing Law
These Terms are governed by the laws of England and Wales, and any disputes will be subject to their exclusive jurisdiction.
15. Changes to These Terms
We may update these Terms from time to time. The latest version will always be available on our website.
